These Terms & Conditions constitute a legally binding agreement between you and Ben Sturgill. By accessing or using this website, you agree to be bound by these terms. If you do not agree to all of these terms, do not use this website.

1. Agreement to Terms

By accessing and using this website ("Site"), you accept and agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. These Terms apply to all visitors, users, and others who access or use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the new Terms.

  • Individual Results Vary: Results are not typical and will vary based on individual effort, experience, market conditions, and many other factors.

4. User Accounts

4.1 Account Creation

To access certain features of the Site, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account

4.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site immediately ceases.

5. Event Registration & Payment

When you register for an in-person trading event hosted by Ben Sturgill, you agree to pay the registration fee using our payment processor, Stripe.

5.1 Payment Processing

  • Payment Processor: All payments are processed securely through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's Terms of Service.
  • Accepted Payment Methods: We accept major credit cards, debit cards, and other payment methods supported by Stripe.
  • Payment Authorization: By submitting payment information, you authorize us to charge the full registration fee to your selected payment method.
  • Currency: All prices are listed in U.S. Dollars (USD) unless otherwise specified.
  • Payment Confirmation: You will receive a payment confirmation and receipt via email upon successful registration.

5.2 Pricing

  • Event pricing is clearly displayed at the time of registration
  • All fees are stated inclusive of any applicable taxes unless otherwise noted
  • We reserve the right to modify event pricing at any time, but price changes will not affect registrations already completed
  • Early bird pricing, if offered, is subject to expiration dates or availability limits

5.3 Registration Confirmation

Upon successful payment, you will receive:

  • An email confirmation of your registration
  • A receipt for your payment
  • Event details including date, time, location, and any pre-event materials
  • Reminder emails leading up to the event date

5.4 Failed Payments

If your payment is declined or fails for any reason:

  • Your registration will not be confirmed
  • You will be notified via email and prompted to update your payment information
  • Your spot is not guaranteed until payment is successfully processed

6. Cancellation & Refund Policy

IMPORTANT: Event registration fees are non-refundable except as specifically outlined below.

6.1 Attendee Cancellation

If you need to cancel your event registration:

  • More than 30 days before event: Full refund minus a $50 processing fee
  • 15-30 days before event: 50% refund of registration fee
  • Less than 15 days before event: No refund available
  • No-shows: No refund available for attendees who do not attend without prior cancellation

To request a cancellation, email admin@bensturgill.com with your registration details. Cancellation requests must be submitted in writing via email.

6.2 Event Cancellation by Ben Sturgill

If we cancel or significantly alter the event:

  • Full Refund: You will receive a full refund of your registration fee if we cancel the event
  • Significant Changes: If we make significant changes (date, location, format), you may choose to receive a full refund or attend the modified event
  • Refund Timeline: Refunds will be processed within 14 business days to your original payment method
  • Limitation: Our liability is limited to the refund of your registration fee only. We are not responsible for travel expenses, accommodation costs, or any other expenses incurred.

6.3 Transfer of Registration

  • Event registrations may be transferred to another person with prior written approval
  • Transfer requests must be submitted at least 7 days before the event
  • A $25 administrative fee applies to all transfers
  • The new attendee must agree to these Terms & Conditions

6.4 Refund Processing

  • Approved refunds will be processed to your original payment method via Stripe
  • Refunds typically appear within 5-10 business days, depending on your financial institution
  • You will receive email confirmation when your refund has been processed

6.5 Disputes & Chargebacks

IMPORTANT: If you dispute a charge or initiate a chargeback without first contacting us to resolve the issue, you agree that:

  • Your event registration will be immediately cancelled
  • You will be denied entry to the event
  • You may be banned from future events
  • You will be responsible for any chargeback fees, legal fees, and collection costs we incur

Please contact admin@bensturgill.com to resolve any billing concerns before initiating a chargeback.

7. Event Changes & Force Majeure

7.1 Event Modifications

We reserve the right to:

  • Modify the event schedule, agenda, or speakers with reasonable notice
  • Change the event venue to a comparable location
  • Alter event format (e.g., from in-person to virtual) due to circumstances beyond our control
  • Make substitutions of speakers or presenters if necessary

We will notify registered attendees of any significant changes as soon as reasonably possible via email.

7.2 Force Majeure

We are not liable for any failure to perform our obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, severe weather conditions
  • Pandemics, epidemics, or public health emergencies
  • War, terrorism, civil unrest, or government restrictions
  • Strikes, labor disputes, or transportation disruptions
  • Venue closures or unavailability
  • Utility failures or infrastructure damage

In such circumstances, we will work to reschedule the event or provide alternative arrangements. If rescheduling is not possible, attendees may receive a full refund or credit toward a future event.

8. In-Person Event Terms & Conduct

8.1 Admission Requirements

To attend an in-person event, you must:

  • Present valid government-issued photo identification that matches your registration
  • Comply with any health and safety requirements in effect at the time of the event
  • Be 18 years of age or older (unless otherwise specified for the event)
  • Follow all venue rules and regulations

8.2 Event Conduct & Behavior

All attendees must:

  • Conduct themselves in a professional and respectful manner
  • Not disrupt the event or interfere with other attendees' experience
  • Not engage in harassment, discrimination, or threatening behavior
  • Not record video or audio without express written permission
  • Comply with all instructions from event staff and venue security

We reserve the right to remove any attendee who violates these conduct rules without refund.

8.3 Photography & Recording

  • Photography and video recording may occur at our events for promotional purposes
  • By attending, you consent to being photographed or recorded and grant us permission to use such media
  • Attendees may not record sessions without express written permission
  • Unauthorized recording may result in removal from the event

8.4 Assumption of Risk

YOU ACKNOWLEDGE AND AGREE:

  • You voluntarily assume all risks associated with attending an in-person event
  • This includes, without limitation, risks of illness, injury, property damage, or exposure to COVID-19 or other communicable diseases
  • You are responsible for your own health, safety, and personal belongings
  • We are not responsible for any lost, stolen, or damaged personal property

8.5 Health & Safety

  • We may implement health screening measures at events (temperature checks, health questionnaires, etc.)
  • You agree to comply with all health and safety protocols in effect at the time of the event
  • If you are feeling unwell or have been exposed to a communicable disease, please do not attend
  • We reserve the right to deny entry based on health screening results

9. Intellectual Property Rights

All content on this Site, including but not limited to text, graphics, logos, images, videos, audio, software, and the overall design and arrangement thereof ("Content"), is the exclusive property of Ben Sturgill or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

9.1 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. This license does not include:

  • Modifying, copying, or distributing any Content
  • Using any Content for commercial purposes without express written permission
  • Attempting to reverse engineer any software or technology on the Site
  • Removing any copyright, trademark, or proprietary notices
  • Creating derivative works based on the Content
  • Transferring access to the Site to another person

10. User Conduct

When using our Site, you agree NOT to:

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEN STURGILL, HIS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

This includes, without limitation, damages for:

  • Loss of profits, revenue, data, or goodwill
  • Financial losses from trading or investment activities
  • Business interruption
  • Personal injury or property damage
  • Any other intangible losses

Liability Cap: In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Ben Sturgill, his affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Site
  • Your violation of any third-party rights
  • Your trading or investment activities
  • Any content you submit to the Site
  • Your violation of any applicable laws or regulations

16. Dispute Resolution & Arbitration

16.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at admin@bensturgill.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

16.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Ben Sturgill agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be resolved by binding arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association ("AAA") or JAMS, at the election of the party initiating arbitration. The arbitration shall be held in Sarasota, Florida, or another mutually agreed location.

16.3 Class Action Waiver

YOU AND BEN STURGILL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR HIS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

16.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to admin@bensturgill.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of this arbitration agreement.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Sarasota County, Florida.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, labor disputes, equipment failures, internet outages, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Ben Sturgill regarding your use of the Site, superseding any prior agreements between you and us relating to your use of the Site.

21. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative.
